1. Acceptance of Terms

Welcome to KOBDi (Korea Business Data Intelligence). These Terms of Service (“Terms”) govern your access to and use of the KOBDi website and services (“Services”). By accessing or using KOBDi (the “Site”), you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our Services.

This Site is owned and operated by KOISRA Co., Ltd., a company registered in South Korea (hereinafter “KOBDi,” “we,” “us,” or “our”). The terms “you” or “User” refer to any individual or entity using the Site or Services. You represent that you are at least the age of majority in your jurisdiction (and at least 19 years old if you reside in South Korea) and are capable of entering into a binding agreement.

2. Description of Services

KOBDi provides an online platform that offers access to organized data about Korean businesses, including but not limited to company registration details, financial information, human resources data, licenses, certifications, and other related corporate information. Users can search for company information and receive results. Basic search results are available for free, while full or detailed information is accessible only to paying subscribers (“Subscribers”) under specific subscription plans.

Some data displayed on KOBDi is stored on our own servers, while other information is retrieved in real-time via APIs from external databases or third-party servers. KOBDi does not guarantee that externally sourced data will be always available, accurate, or up-to-date, and we are not responsible for any unavailability or inaccuracies arising from third-party data sources.

By using our Services, you acknowledge that the information provided is for general informational purposes. While we strive to ensure the data is comprehensive and current, KOBDi makes no warranty regarding the accuracy, completeness, or reliability of business data obtained through the Site. Users should independently verify critical information before relying on it for business decisions.

3. Account Registration and Security

3.1 Registration: In order to access certain features of the Services (such as bookmarking data, saving queries, or accessing detailed company information), you may be required to create an account. When creating an account, you agree to provide truthful, accurate, and complete information, including your name, a valid email address, and any other information required by the registration process. Business users may be asked to provide additional details such as phone number and company name for verification and service purposes.

3.2 Account Credentials: You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify KOBDi immediately at the contact information provided below of any unauthorized use of your account or any other breach of security. KOBDi will not be liable for any loss or damage arising from your failure to safeguard your account information.

3.3 Account Usage: You must not share your account with others. A single subscription account is meant to be used by one person or entity. If we detect that login credentials are being used by multiple people, or suspicious activity that suggests account sharing or misuse, we reserve the right to suspend or terminate the account.

4. Subscription Plans and Payments

4.1 Free Services: KOBDi offers basic search functionality and summary results free of charge. Free Users have limited access to detailed company information.

4.2 Paid Subscriptions: Full access to detailed or premium company data requires a paid subscription. Subscription options, pricing, and payment terms will be presented to you at the time of purchase. By subscribing, you agree to pay the fees associated with the chosen plan. All fees are in the currency specified (e.g., South Korean Won) and are exclusive of taxes, duties, or levies, unless otherwise stated. You are responsible for any applicable taxes.

4.3 Payment Processing: Payments for subscriptions are handled by third-party payment processors. KOBDi does not store your payment card information on our servers. All payment details (such as credit card numbers or bank information) are provided directly to our secure payment processor, which is responsible for handling and processing your payment information in compliance with applicable laws. By providing payment information, you agree to the payment processor’s terms and conditions. KOBDi is not responsible for errors or security breaches by the payment processor, but please notify us if you encounter issues so we may assist in resolution where possible.

4.4 Renewal and Cancellation: Subscription plans may renew automatically at the end of their term (monthly or annually, depending on the plan) unless you cancel prior to the renewal date. You can manage or cancel your subscription at any time through your account settings or by contacting us. If you cancel a subscription, you will retain access to premium features until the end of the then-current paid period. No refunds will be provided for partial periods or unused time unless required by law or explicitly stated in the specific plan’s terms.

4.5 Changes to Fees: KOBDi reserves the right to change subscription fees or institute new charges upon reasonable notice to you. Fee changes will not affect your current subscription period but will apply upon renewal or new subscriptions. If you do not agree with a fee change, you must cancel your subscription before the new fees take effect.

5. User Obligations and Acceptable Use

By using KOBDi, you agree to the following acceptable use terms:

5.1 Lawful Use: You will use the Site and Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You shall not use KOBDi to engage in any activity that is illegal, fraudulent, or infringes on the rights of any individual or entity.

5.2 Prohibited Activities: When accessing or using KOBDi, you agree NOT to:

  • Violate or attempt to violate the security of the Site, including probing, scanning, or testing the vulnerability of any system or network or breaching authentication measures without proper authorization.
  • Access, acquire, copy, or monitor any portion of the Site or any content, or in any way reproduce or circumvent the navigational structure or presentation of the Site, to obtain or attempt to obtain materials, documents, or information through any means not purposely made available through the Site.
  • Use any automated systems (such as bots, spiders, or scrapers) to access the Services or extract data, except with prior written permission from KOBDi. Search engines indexing the site for public search are permitted to the extent allowed by a robots.txt policy, if present.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity, including misrepresenting your identity or the information you seek.
  • Interfere with or disrupt the operation of the Services or any servers or networks connected to the Services, including transmitting any worms, viruses, malware, or any code of a destructive nature.
  • Attempt to gain unauthorized access to any portion or feature of the Services, other user accounts, or any systems or networks connected to the Services.
  • Use the Site or data obtained from KOBDi to develop or provide a competing service or for any commercial purposes other than those expressly permitted by KOBDi. This includes refraining from selling, reselling, or sublicensing KOBDi’s data or Services without authorization.
  • Upload, post, or transmit any content that (i) is unlawful, harmful, defamatory, obscene, or otherwise objectionable, (ii) infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party, or (iii) violates the privacy or publicity rights of any person.

5.3 User-Submitted Content: If KOBDi allows users to contribute or upload any content (such as company reviews, comments, or user profiles), you are solely responsible for any content you provide. You must ensure that any content you submit complies with all applicable laws and does not violate any third-party rights. By submitting content, you grant KOBDi a worldwide, royalty-free, transferable, sub-licensable license to use, reproduce, modify, publish, translate, distribute, and display such content in connection with operating and providing our Services. We reserve the right (but have no obligation) to remove or modify any user-submitted content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

5.4 Cooperation: You agree to cooperate with any investigation by KOBDi into alleged illegal or unauthorized activity on the Site. We reserve the right to involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms or applicable laws.

6. Intellectual Property Rights

6.1 Ownership: The KOBDi Site and all content, data, software, text, images, and other materials available on the Site (collectively, “Content”) are the property of KOISRA Co., Ltd. or its licensors and are protected by international intellectual property laws, including copyright, trademark, and database rights. This includes the compilation of business data, the presentation and arrangement of such data, the KOBDi logo, trademarks, service marks, and all related names, logos, product and service names, designs, and slogans.

6.2 License to Users: Subject to your compliance with these Terms, KOBDi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content for your personal or internal business use. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by KOBDi in the manner permitted by these Terms. No other rights or licenses are granted by implication or otherwise.

6.3 Restrictions: You must not:

  • Copy, reproduce, modify, distribute, publicly display, or create derivative works of any Content from the Site without our prior written consent, except as expressly permitted by law (such as brief quotations under fair use for academic or news purposes with proper attribution).
  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on the Site or accompanying the Content.
  • Use any trademarks, logos, or trade names of KOBDi or KOISRA without prior written permission. All goodwill arising from the use of any KOBDi trademarks inures to the benefit of KOISRA Co., Ltd.

6.4 Third-Party Content: Some information on KOBDi may be sourced from third-party databases, public records, or other services. Such content remains the property of its respective owners. Your use of third-party content may be subject to additional terms from those sources. KOBDi’s inclusion of this content under license or permission does not grant you any rights to further use it beyond the scope of our Services.

7. Privacy and Data Protection

Your privacy is very important to us. Our use of your personal information is governed by our Privacy Policy (see below), which is incorporated into these Terms by reference. Please read the Privacy Policy carefully to understand how we collect, use, and disclose information about you. By using the Services, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy and applicable laws.

If you do not agree with the Privacy Policy or these Terms, you should immediately stop using KOBDi.

8. Third-Party Links and Services

The KOBDi Site and Services may contain links to third-party websites or resources, or integrate with third-party services (for example, APIs providing data, authentication through third-party accounts, etc.). These links and integrations are provided for your convenience only. KOBDi has no control over third-party sites or services and is not responsible for the content, operation, or privacy practices of any third-party websites or services. The inclusion of any link or integration does not imply endorsement by KOBDi of the third-party site or any association with its operators.

When you access third-party websites or use third-party services, you do so at your own risk. Different terms and privacy policies may apply to your use of such third-party resources. We encourage you to review the terms of use and privacy policies of any third-party site you visit or service you use.

9. Disclaimer of Warranties

9.1 “As Is” Basis: KOBDi provides the Site, Services, and all Content on an “as is” and “as available” basis without any warranties of any kind, either express or implied. Your use of the Services is at your own risk.

9.2 No Express or Implied Warranties: To the fullest extent permitted under applicable law, KOBDi and its affiliates, licensors, and service providers disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

9.3 Data Accuracy and Availability: KOBDi does not warrant that the content or data presented on the Site is accurate, complete, reliable, current, or error-free. We do not guarantee that any business information (including financials, registrations, or certifications) is up-to-date or free from inaccuracies. We also do not guarantee continuous, uninterrupted access to the Services; availability can be affected by factors outside of our control (such as internet outages or issues with third-party data providers). KOBDi will make reasonable efforts to correct or remove known errors or to restore access promptly, but we make no warranty that the Services will meet your requirements or expectations.

9.4 Security and Bugs: While we endeavor to maintain a secure and error-free platform, KOBDi does not warrant that the Site or any downloads from it will be free of viruses, malware, or other harmful components, or that any defects or errors will be corrected. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for data security and accuracy (such as maintaining backup copies of any data you obtain from our Services).

9.5 No Advice or Endorsement: No advice or information, whether oral or written, obtained by you from KOBDi or through the Services shall create any warranty not expressly stated in these Terms. KOBDi is not a consulting or advisory service; the business data and insights provided are informational and do not constitute professional advice. We do not endorse or recommend any company, product, or service that may be referenced in the data.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on applicable statutory rights of a consumer, so some or all of the above disclaimers may not apply to you. In such cases, the warranties will be limited to the fullest extent permitted by applicable law.

10. Limitation of Liability

10.1 No Indirect Damages: To the extent permitted by law, in no event will KOBDi (KOISRA Co., Ltd.), its directors, officers, employees, agents, affiliates, partners, licensors, or data providers be liable for any indirect, consequential, incidental, special, or punitive damages, or any loss of profits or revenues, business interruption, loss of data, or loss of goodwill, arising out of or in connection with your access to or use of (or inability to use) the Services, even if advised of the possibility of such damages. This limitation applies to any damages resulting from (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage resulting from your access to or use of the Services; (iii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iv) any interruption or cessation of transmission to or from the Services; (v) any bugs, viruses, trojans, or the like that may be transmitted to or through our Services by any third party; or (vi) any errors or omissions in any content or data or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services.

10.2 Cap on Liability: To the extent permitted by applicable law, the total cumulative liability of KOBDi and KOISRA Co., Ltd., for any claims arising out of or related to these Terms or the Services, regardless of the form of the action, whether in contract, tort (including negligence), strict liability, or otherwise, is limited to the amount of fees you have paid to us in the six (6) months immediately preceding the event giving rise to the claim (or, if you have not paid any fees, the amount of ₩100,000 Korean Won). This limitation is cumulative and not per-incident.

10.3 Exceptions: Nothing in these Terms shall limit or exclude liability for gross negligence, willful misconduct, or fraud of KOBDi, or for any other liability that cannot be excluded or limited under applicable law (for example, certain liabilities under South Korean law may not be limited by agreement).

10.4 Basis of the Bargain: You acknowledge and agree that KOBDi has offered its Services and set its prices in reliance upon the disclaimers of warranties and the limitations of liability set forth herein, that the disclaimers and limitations reflect a reasonable and fair allocation of risk between you and us, and that the disclaimers and limitations form an essential basis of the bargain between you and KOBDi. You agree that the limitations and exclusions of liability and disclaimers specified in these Terms will survive even if found to have failed their essential purpose.

11. Indemnification

You agree to indemnify, defend, and hold harmless KOBDi (KOISRA Co., Ltd.) and its officers, directors, employees, agents, affiliates, partners, and licensors from and against any and all claims, liabilities, damages, losses, judgments, awards, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

  • Your use of the Site or Services, or activities in connection with the Site (including all activities under your account and use by others who obtain access through your account).
  • Your violation of these Terms or any applicable law or regulation.
  • Your infringement or violation of any intellectual property, privacy, or other rights of any other person or entity.
  • Any content or data you submit or make available through our Services, including any claim that such content caused damage or loss to a third party.

KOBDi reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in such case, you agree to cooperate with our defense of those claims.

12. Suspension and Termination

12.1 Termination by KOBDi: We may suspend or terminate your access to the Services (including any accounts) at any time, with or without cause, with or without notice, effective immediately. Grounds for termination may include, but are not limited to: (i) breaches or violations of these Terms or other incorporated agreements or guidelines, (ii) requests by law enforcement or other government agencies, (iii) a request by you (self-initiated account deletions), (iv) discontinuance or material modification of the Services (or any part thereof), (v) unexpected technical or security issues or problems, (vi) extended periods of inactivity of a free account, or (vii) your engagement in fraudulent or illegal activities.

12.2 Effect of Termination: Upon termination of your account or access, your right to use the Services will immediately cease. Any licenses granted to you by these Terms will end. We will have no obligation to maintain any information associated with an account afterward or to forward any unread or unsent messages to you or any third party. However, certain obligations and provisions in these Terms, by their nature, should survive termination (for example, intellectual property rights, disclaimer of warranties, limitation of liability, indemnification, governing law, and dispute resolution).

12.3 Termination by You: You may terminate your account or subscription at any time if you no longer wish to use our Services. You can do this through your account settings or by contacting us. If you terminate a paid subscription, you will not receive a refund for any unused portion of the subscription term, except at our sole discretion or as required by applicable law. You remain responsible for any fees or charges incurred prior to termination.

12.4 Data Retention After Termination: Please refer to our Privacy Policy for information on what happens to your data upon termination of your account. In general, we may retain certain information as required by law or for legitimate business purposes (e.g., maintaining financial records, resolving disputes) even after account deletion.

13. Governing Law and Dispute Resolution

13.1 Governing Law: These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the Republic of Korea (South Korea), without giving effect to any conflict of law principles.

13.2 Jurisdiction: You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the use of Services shall be brought exclusively in the courts of competent jurisdiction located in Seoul, South Korea, unless otherwise required by a mandatory law (such as consumer protection laws that might grant you the right to bring a claim in your local jurisdiction). You consent to the jurisdiction of and venue in such courts and waive any objection that such courts represent an inconvenient forum.

13.3 Dispute Resolution Efforts: Before filing any claim against KOBDi, you agree to first attempt to resolve the dispute informally by contacting us at our contact address or email provided in these Terms. We will attempt to resolve the dispute informally (for example, through negotiations) within 30 days from the date we receive your informal dispute notice. If the dispute is not resolved within 30 days, either party may begin formal legal proceedings.

13.4 Injunctive Relief: Notwithstanding the foregoing, either party may seek interim or injunctive relief in any court of competent jurisdiction to prevent any unauthorized use of the Services or infringement of intellectual property rights without first engaging in the informal dispute resolution process.

14. Changes to the Terms

KOBDi may revise or update these Terms of Service from time to time at our sole discretion. We will use reasonable efforts to notify you of any material changes to the Terms, such as by posting a notice on the Site or sending an email to registered users. Non-material changes (such as clarifications or updates that do not reduce your rights) may be posted without special notice. The “Last Updated” date at the top of this document indicates when the latest changes were made.

By continuing to access or use the Services after any revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the new terms, you must stop using the Services.

15. Miscellaneous

15.1 Entire Agreement: These Terms of Service, together with any other legal notices or guidelines posted on our Site (including the Privacy Policy), constitute the entire agreement between you and KOBDi regarding the Services and supersede all prior agreements (whether oral or written) or communications relating to the subject matter hereof.

15.2 No Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of KOBDi.

15.3 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. In such event, the parties agree to comply with the spirit of the invalidated provision to the extent lawful.

15.4 Assignment: You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without our prior written consent. We may assign these Terms freely to any affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law or otherwise, and you hereby consent to such assignment. These Terms shall be binding upon and inure to the benefit of the parties, their successors, and permitted assigns.

15.5 No Agency: No joint venture, partnership, employment, or agency relationship exists between you and KOBDi as a result of these Terms or your use of the Services. You do not have any authority of any kind to bind KOBDi in any respect whatsoever.

15.6 Force Majeure: KOBDi shall not be liable for any failure or delay in performance of its obligations (except payment obligations) if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes, labor disputes, embargoes, government orders, pandemics, technological failures, or any other force majeure event.
